Terms and Conditions for Adoro

Welcome to the website and e-commerce system of Adoro (the "Website"). We operate the website www.adoroads.com

General

These terms and conditions apply between Adoro and users of the Website as set out below, and/or a customer who purchases products with reference to these terms and conditions in offer, order confirmation, invoice, price list and/or similar documentation.

These terms and conditions include:

• (a) The terms that apply between Adoro and all users of the Website, set out in Section A below (the "Terms of Use");
• (b) The terms that apply to purchases of products through the Website, set out in Section B below (the "Terms of Sale"); and
• (c) The terms of sale set out in Section C below (the "Sales Terms"). The Sales Terms apply together with the Terms of Sale for all purchases of products through the Website.

All users of the Website who are additionally purchasers of products through the Website are subject to the Terms of Use, Terms of Sale and Sales Terms jointly or those that are applicable respectively. These are jointly referred to as "General Terms".

You should print a copy of these General Terms for future reference. However, Adoro reserves the right to change the General Terms from time to time, and all orders placed are subject to the General Terms in force at that time.

A. TERMS OF USE

1. Users

To access the Website, users must be registered as users (the "User") with the Adoro website system. Users are granted various levels of access rights to the Website. Thus, certain users may only access information on the Website, while other users representing an Adoro customer may purchase products through the Website. The Terms of Use apply to all users regardless of their level of access rights.

2. Access to the Website and Information on the Website

Adoro strives to have the Website accessible without interruption and that information transmissions within or to and from the Website are error-free. However, Adoro gives no guarantee in this regard. Thus, the Website may be unavailable or only partially accessible from time to time due to planned or unplanned downtime, repairs, maintenance, updates or in connection with the introduction of new features, services or similar. Adoro strives to limit downtime as well as access restrictions to the Website.

It is Adoro's endeavor to keep the information on the Website accurate and current, but Adoro cannot guarantee that the information is complete, accurate and current. The user is aware that information on the Website, such as prices and availability of products for delivery, is subject to continuous change. Therefore, Adoro assumes no liability for the Website not functioning satisfactorily or for information on the Website not being complete, accurate or current. Furthermore, Adoro is not liable for damage or disruption caused by or caused by viruses, worms or other malicious software transmitted through use of the Website.

3. User Account and Password

The password chosen by the user when first logging into the Website must be unique and kept confidential. The right to the user's user account(s) may not be transferred. The password must never be disclosed to an unauthorized person or written down so that an unauthorized person can misleadingly appear to Adoro as the user. The user undertakes to take necessary precautions to prevent unauthorized transmission of the user's password, and the user assumes full responsibility for any activity that occurs under the user's account.

4. Unauthorized Use

If the Website and/or the user's password is/are used in violation of these General Terms, Adoro is entitled to immediately terminate the user's access to the Website and, for customers, immediately stop delivery of placed orders.

5. Personal Data and Cookies

5.1 Personal Data

Adoro is the data controller for any processing of the user's personal data under and in relation to the user's user account and use of the Website under these General Terms.

The processing mainly relates to personal data that is voluntarily transmitted by the user to Adoro when registering a user account or that is registered when purchasing products through the Website. Adoro processes the user's personal data for the purpose of managing the customer relationship, managing and fulfilling agreements on purchases through the Website or to fulfill other requirements set by applicable laws and regulations, as well as to provide information through advertising to the user about products and services from Adoro and selected partners.

By accepting these General Terms, the user approves the registration, processing and transmission described above. If the user needs information about personal data relating to the user processed by Adoro, the user has the right to request a written report about it from Adoro once per year. Such a request as well as requests for correction of personal data processed by Adoro should be sent to the following email address: hi@adoroads.com

5.2 Cookies

The Website uses cookies. A cookie is a small amount of information sent by the Website and stored by the user's web browser. The cookie contains information needed for the Website's interaction with the user's web browser and to enable customization of content on the Website.

By accepting these General Terms, the user accepts that cookies are used as described above. If the user no longer wants to accept the use of cookies, the web browser of the computer can be set to automatically prevent cookies from being stored or to warn the user each time a website requests to store a cookie.

6. Confidentiality

All information provided by Adoro on the Website or otherwise according to these General Terms is "Confidential Information of Adoro". The user undertakes to use Adoro's Confidential Information only in connection with the use of the Website and not to transmit or otherwise disclose Adoro's Confidential Information to third parties.

7. Intellectual Property Rights

All intellectual property rights relating to the design and structure of the Website as well as information and content on the Website are owned by Adoro (or a third party). Nothing in these General Terms is to be understood as a transfer or granting of a license for copyrights, trademarks, designs, know-how or other registered or unregistered intellectual property rights.

8. Invalidity

Should a competent court find that any provision of these General Terms violates the law or is otherwise invalid or unenforceable, the remaining provisions remain in force insofar as such provisions can reasonably be regarded as reflecting the intentions of the parties.

9. Changes

Adoro reserves the right to change the information and content on the Website including these General Terms at any time. If Adoro changes these General Terms, the user must accept the changed General Terms to gain access to further use of the Website.

B. TERMS OF SALE

10. Customers

Only customers approved by Adoro and registered in Adoro's customer database (each a "Customer") can purchase products through the Website. For new customers who do not wish to purchase with a credit card, a credit check will be performed before registration, and an approved credit check is a prerequisite for registration. Only business customers (not consumers) can purchase products through the Website.

C. SALES TERMS

11. Business Customers

The Website is only open for the sale of products to business customers. Consumers are referred to Adoro dealers.

12. Prices and Payment

The price for the products is from time to time as stated on the Website. All payments must be made by credit card except payments from users with an approved credit facility. Adoro accepts payments with credit or debit cards issued by Visa and MasterCard.

13. Applicable Law

All contracts for the purchase of products through the Website and all disputes or claims arising therefrom are subject to Austrian law and the non-exclusive jurisdiction of the courts of Austria.
